End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("you" or "Licensee") and Elevate Your Toolkit ("EYT," "we," "us," or "our") governing your use of the EYT software platform, including its web applications, templates, tools, and any related updates or documentation (collectively, the "Software"). By creating an account, accessing, or using the Software, you agree to be bound by this EULA together with our Terms of Service. If you do not agree, do not use the Software.

1. License Grant

Subject to your compliance with this EULA and payment of applicable fees, EYT grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your own business purposes for the duration of your subscription. The Software is licensed, not sold.

2. License Restrictions

You may not, and may not permit anyone else to:

• Copy, modify, adapt, translate, or create derivative works of the Software.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except where such restriction is prohibited by law.
• Rent, lease, lend, sell, resell, sublicense, distribute, or otherwise transfer the Software or your license to any third party.
• Remove, alter, or obscure any proprietary notices, branding, or labels on the Software.
• Use the Software to build a competing product or service, or copy its features, functions, or user interface for that purpose.
• Circumvent usage limits, access controls, or license verification mechanisms.
• Use the Software in violation of our Acceptable Use Policy or any applicable law.

3. Ownership

The Software — including all software code, templates, designs, trademarks, and documentation — is and remains the exclusive property of EYT and its licensors, protected by copyright, trademark, and other intellectual property laws. No rights are granted to you other than the limited license expressly set out in this EULA. Content you create using the Software (your pages, funnels, courses, and community content) remains yours, as described in our Terms of Service.

4. Accounts and Subscriptions

• Your license is tied to your account and active subscription. Sharing account credentials outside your organization is not permitted.
• Fees, billing, renewals, and cancellations are governed by our Terms of Service and Refund Policy.
• If your subscription lapses or is terminated, your license ends and your access to the Software ceases, subject to any data-export window we may provide.

5. Updates and Changes

We may provide updates, upgrades, patches, or new features to the Software at any time, and may modify or discontinue features as the platform evolves. This EULA applies to all such updates unless they are accompanied by a separate license. We are not obligated to provide any particular update or to maintain any particular feature.

6. Third-Party Components

The Software may include or interoperate with third-party software, services, and open-source components (including payment processing by Stripe). Such components are governed by their own license terms, and nothing in this EULA limits your rights under, or grants you rights that supersede, those terms.

7. Termination

This EULA is effective until terminated. It terminates automatically if you fail to comply with any of its terms, or when your subscription ends. We may also terminate or suspend the license as described in our Terms of Service. Upon termination, you must cease all use of the Software. Sections 3 (Ownership), 8 (Disclaimer), 9 (Limitation of Liability), and 10 (General) survive termination.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EYT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS EULA OR YOUR USE OF THE SOFTWARE. OUR TOTAL LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. General

• This EULA, together with the Terms of Service and the policies it references, is the entire agreement between you and EYT regarding the Software.
• If any provision is found unenforceable, the remaining provisions remain in full effect.
• Our failure to enforce any right is not a waiver of that right.
• You may not assign this EULA without our consent; we may assign it in connection with a merger, acquisition, or sale of assets.
• We may update this EULA from time to time; material changes will be reflected in the effective date above and, where appropriate, communicated via the Service or email.
